These Wholesale Terms & Conditions apply to all wholesale accounts and orders placed with Nina Bailey Australia (“we”, “us”, “our”). By placing a wholesale order or maintaining a wholesale account, you agree to the following terms. Please read carefully.

1. Eligibility for Wholesale Accounts

Wholesale pricing is available to approved retail businesses purchasing products for resale.
We reserve the right to approve or decline applications at our discretion.

2. Minimum Orders

• A minimum order value of $350 applies to all wholesale purchases.
• Minimum reorder amounts may also apply.

These requirements will be communicated at the time of approval.

3. Pricing

• All wholesale prices are exclusive of GST unless stated otherwise.
  
• Prices are subject to change without notice; however, we will always notify customers of major price adjustments where possible.
  
• RRP guidelines are provided but are not mandatory.

4. Payment Terms

• All orders must be paid in full before dispatch unless otherwise agreed in writing.
  
• Payments not received will result in delays to production and delivery.
  
• We reserve the right to suspend or close wholesale accounts for repeated late payments.

5. Shipping & Delivery

• Shipping costs are the responsibility of the wholesale customer.
  
• Risk and ownership of the goods transfer to the customer once the order has been delivered to the address provided.
  
• Any delivery delays caused by couriers or freight carriers are outside our control.

6. Product Quality & Natural Variations

Our products are handcrafted using natural ingredients; therefore, slight variations in colour, texture, or scent may occur. These natural characteristics are not considered faults.7. Storage & Product Care (Important)

To maintain product quality, wholesale customers must store all products:

• At a stable temperature between 18–24°C.
• Indoors, in a cool, dry, temperature-controlled environment.
• Avoid direct sunlight and heat sources.
• Do not leave products in cars or hot warehouses.
• Keep away from humidity and extreme temperature changes.
• Away from heat sources, humidity, sunlight, and fluctuating temperatures.

Improper storage can lead to cosmetic or structural changes in natural products.

Retailers are responsible for ensuring products are stored correctly once they have been delivered. As a result, we cannot accept liability for any damage that occurs due to storage or environmental conditions after delivery.

8. Sale of Expired Stock

To ensure a high-quality customer experience, wholesale clients must not sell stock older than 6 months. We may request that expired items be removed from sale, and appreciate your cooperation in maintaining product integrity.

9. Returns & Replacements

Eligible Returns – Faulty or Damaged Goods

In line with Australian Consumer Law, wholesale customers are entitled to a repair, replacement, or refund only if:

• the goods are faulty at the time of supply,
  
• damaged upon arrival, or
  
• not of acceptable quality due to a manufacturing issue.
  

To lodge a return:

• Notify us at info@ninabailey.com.au within a reasonable time of receiving the order.
  
• Provide photos, order number, and a description of the issue.
  
• We may request the item be returned for assessment.
  

If a fault is confirmed, we will repair, replace, or refund as appropriate.

Non-Eligible Returns

We cannot accept returns for:

• Theft or loss after delivery
  
• Improper storage or handling (heat, humidity, sunlight, or fluctuating temperatures)
  
• Change of mind or slow sales
  
• Products older than 12 months
  
• Normal variations inherent to natural ingredients
  
• Misuse or alteration of products
  

We also do not cover indirect or consequential losses, including lost profits or resale losses.

10. Returns from End Customers

Nina Bailey products purchased through a retailer must be returned to that retailer.
We only process returns or exchanges for our direct wholesale customers, not end consumers.

11. Intellectual Property

All product designs, images, descriptions, branding, and formulas remain the property of Nina Bailey Australia and may not be reproduced or altered without permission.

12. Representing the Brand

Wholesale clients must present Nina Bailey products accurately and respectfully.
We reserve the right to revoke wholesale status if the brand or products are misrepresented.

13. Order Cancellations

• Orders cancelled after production has begun may incur a restocking or cancellation fee.
  
• Custom or special-order items cannot be cancelled once production has started.

14. Termination of Wholesale Accounts

We may suspend or terminate any wholesale account for breach of these terms, misuse of our products, non-payment, or conduct deemed harmful to the Nina Bailey brand.

15. Agreement to Terms

By purchasing Nina Bailey Australia products at wholesale prices, you acknowledge and agree to these Wholesale Terms & Conditions.
